Terms of Use

1. Acceptance

These Terms of Use govern your access to and use of tokenwake.io (the "Site"), operated by Tier Zero Solutions, LLC ("Tier Zero," "we," "us"). By using the Site, you agree to them. If you don't agree, don't use the Site.

These Terms of Use cover the Site only. If you order services through the Site, our Terms of Service govern that engagement, and those terms control in any conflict.

2. Site Content Is Informational

Everything on the Site — methodology descriptions, benchmark results, sample forecasts, cost figures, model comparisons, and published analyses — is provided for general information.

It is not advice, and it is not a forecast for your workflow. Figures shown on the Site come from specific analyses under specific conditions. Your results will differ. Nothing on the Site creates any warranty or commitment.

Published benchmark and performance figures reflect the models, prices, and conditions in effect at the time of the analysis. The AI model market changes continuously and any published figure may be out of date.

3. Third Parties and Comparative Statements

The Site refers to third-party AI models, vendors, and published pricing. Those references are for identification and comparison. Tier Zero is not affiliated with, endorsed by, or sponsored by any model vendor, and all trademarks belong to their owners.

Third-party pricing and performance data is published by those vendors and may change without notice. We don't warrant its accuracy.

4. Acceptable Use

You may view, download, and print Site content for your own internal business evaluation.

You may not:

  • scrape, crawl, harvest, or use automated means to extract Site content, except for search engine indexing
  • copy, republish, or redistribute Site content outside your organization
  • use Site content to build, train, benchmark, or market a competing product or service
  • reverse engineer or attempt to derive our methodologies from published results
  • interfere with the Site's operation or security, or attempt unauthorized access
  • misrepresent your identity or affiliation when contacting us

5. Intellectual Property

The Site and its contents — text, graphics, layout, logos, the TokenWake and Tier Zero marks, methodology descriptions, and published analyses — are owned by Tier Zero or its licensors and protected by copyright, trademark, and other laws.

The Dynamic Complexity Framework and the methodologies underlying TokenWake are proprietary to Tier Zero and subject to pending patent applications. Nothing on the Site grants any license or right to them.

6. Submissions Through the Site

If you submit information through a form — contact details, a workflow description, a question — you represent that you have the right to provide it and that it doesn't violate any law or third-party right.

Do not submit confidential information through the Site's forms. A web form is not a secure channel. If you're engaging us for a forecast, we'll arrange a separate intake process and, where appropriate, a confidentiality agreement before you send anything sensitive.

Submissions are handled as described in our Privacy Policy.

7. Links to Other Sites

The Site may link to third-party sites we don't control. We're not responsible for their content, and a link isn't an endorsement.

8. Disclaimer

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON IT IS ACCURATE, COMPLETE, OR CURRENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIER ZERO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE.

OUR TOTAL LIABILITY ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

10. Indemnity

You agree to indemnify Tier Zero against claims arising from your misuse of the Site or violation of these Terms of Use.

11. General

Governing Law. These Terms of Use are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules.

Dispute Resolution. The parties submit to the exclusive jurisdiction of the state and federal courts located in Cuyahoga County, Ohio.

Changes. We may update these Terms of Use by posting a revised version with a new date. Continued use after posting means you accept the change.

Severability and Waiver. If a provision is unenforceable, the rest stay in effect. Not enforcing a provision isn't a waiver of it.

Entire Agreement. These Terms of Use, with the Privacy Policy, are the entire agreement about your use of the Site.
